2. LICENSE GRANT

Subject to your compliance with this EULA and our applicable Terms of Service, Vertex Games grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the Software for personal, non-commercial entertainment purposes.

This license allows you to use the Software only as permitted by:

3. OWNERSHIP

• Models
• Animations
• Audio
• Music
• Visual effects

• Trademarks
• Interfaces
• Other intellectual property

Except for the limited license expressly granted by this EULA, no ownership rights are transferred to you.

4. LICENSE RESTRICTIONS

Unless expressly permitted by this EULA, applicable law, or written permission from Vertex Games, you must not:

• Copy the Software except as reasonably necessary for permitted use
• Sell the Software
• Rent or lease the Software
• Sublicense the Software
• Distribute unauthorized copies
• Modify the Software
• Create derivative works from the Software
• Reverse engineer the Software
• Decompile the Software
• Disassemble the Software
• Attempt to obtain source code
• Circumvent technical protection measures
• Remove copyright or ownership notices
• Extract game assets for unauthorized use
• Use the Software to develop a competing product
• Use automated systems to interact with the Software without authorization
• Exploit vulnerabilities for unauthorized purposes
• Use unauthorized third-party software to gain an advantage

Nothing in this section prevents activities that cannot legally be restricted under applicable law.

5. GAME MODIFICATIONS

Unless explicitly permitted by Vertex Games, you must not modify or alter the Software in a manner that:

• Provides an unfair advantage
• Circumvents security systems
• Interferes with online functionality
• Damages the experience of other users
• Violates our Terms of Service
• Violates our Community Guidelines
• Violates applicable law

Vertex Games may restrict access to online features when unauthorized modifications are detected or reasonably suspected.

6. ONLINE SERVICES

Certain features of the Software may require an internet connection or third-party online services.

Online features may include:

• Multiplayer
• Matchmaking
• Authentication
• Online sessions
• Player services
• Social features
• Achievements
• Leaderboards
• Other online functionality

Online features may not always be available.

Vertex Games is an independent developer and is not owned by, sponsored by, or endorsed by Epic Games unless explicitly stated otherwise.

8. THIRD-PARTY PLATFORMS

The Software may be distributed through third-party platforms.

Examples may include:

• Apple App Store
• Steam
• Epic Games Store
• Other authorized platforms

Your use of the Software may also be subject to the terms, policies, and requirements of the platform through which you obtained the Software.

If a third-party platform provides additional terms, those terms may apply to your use of that platform.

9. UPDATES AND PATCHES

Vertex Games may provide:

• Bug fixes
• Security updates
• Performance improvements

• Balance changes
• Feature changes

Updates may be required to continue using certain features or the Software.

We may automatically provide or require updates where supported by the applicable platform.

10. GAME CONTENT

The Software may contain:

• Vehicles
• Maps
• Environments
• Items
• Audio
• Music
• Visual effects
• Animations
• Other digital content

Game content is provided as part of the Software and does not create separate ownership rights for the User unless expressly stated otherwise.

11. VIRTUAL ITEMS

Some Vertex Games products may contain virtual items, in-game currency, digital rewards, or similar game content.

Unless expressly stated otherwise:

• Virtual items have no real-world monetary value.
• Virtual items are licensed, not sold.
• Virtual items may not be exchanged for real money.
• Virtual items may not be transferred outside the applicable game.
• Vertex Games may modify virtual items where reasonably necessary for the operation of the game.

If a particular game does not contain virtual items, this section does not apply to that game.

12. USER-GENERATED CONTENT

Some Vertex Games products may allow users to create or submit content.

User-generated content may include:

• Player names
• Text
• Images
• Profiles
• Messages
• Other user-created materials

You remain responsible for content you submit.

You must have the necessary rights to submit that content.

By submitting content through a Vertex Games service, you grant Vertex Games the rights reasonably necessary to host, store, display, transmit, reproduce, and process that content for operating and providing the applicable service.

13. FEEDBACK

If you provide feedback, suggestions, ideas, bug reports, or other comments about the Software, Vertex Games may use that feedback to improve and develop our products.

Please do not submit confidential information through ordinary feedback channels.

Vertex Games names, logos, trademarks, game names, artwork, and other branding are protected by applicable intellectual property laws.

You must not use our branding in a manner that:

• Suggests endorsement
• Suggests sponsorship
• Creates confusion about affiliation
• Misrepresents your relationship with Vertex Games

22. PROHIBITED USES

You must not use the Software to:

• Commit illegal activities
• Distribute malware
• Attack or disrupt services
• Gain unauthorized access
• Conduct fraud
• Harass other users
• Cheat
• Circumvent security
• Reverse engineer where prohibited
• Violate intellectual property rights
• Violate our Terms of Service
• Violate our Community Guidelines

23. TERMINATION

This license remains effective until terminated.

You may terminate this EULA by:

• Uninstalling the Software
• Ceasing to use the Software
• Deleting applicable accounts where available

Vertex Games may suspend or terminate your license where permitted by applicable law if you materially violate this EULA, our Terms of Service, or applicable policies.

Upon termination, you must stop using the Software and delete or uninstall copies in your possession where required by this EULA.

Certain provisions, including intellectual property, disclaimers, limitations of liability, and other provisions that naturally survive termination, will remain effective.

24. DISCLAIMER OF WARRANTIES

To the maximum extent permitted by applicable law, the Software is provided on an "as is" and "as available" basis.

Vertex Games does not guarantee that the Software will:

• Be uninterrupted
• Be completely secure
• Be error-free
• Meet all of your expectations
• Be compatible with every device
• Always contain every feature
• Remain available indefinitely

Nothing in this EULA excludes warranties or rights that cannot legally be excluded.

25. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, Vertex Games will not be responsible for indirect, incidental, special, consequential, exemplary, or similar damages arising from or related to your use of the Software.

This may include losses relating to:

• Data
• Profits
• Business opportunities
• Goodwill
• Service interruptions
• Third-party services
• Device compatibility

Nothing in this EULA limits liability that cannot legally be limited or excluded.

26. INDEMNIFICATION

To the extent permitted by applicable law, you agree to be responsible for claims, damages, liabilities, and reasonable expenses resulting from:

• Your unlawful use of the Software
• Your violation of our policies
• Your infringement of another person's rights
• Your misuse of the Software

27. CHANGES TO THIS EULA

30. NO WAIVER

Our failure to enforce any provision of this EULA does not constitute a waiver of our right to enforce that provision in the future.

Any waiver must be expressly provided by Vertex Games.

31. ENTIRE AGREEMENT

This EULA, together with the applicable Terms of Service, Privacy Policy, Community Guidelines, and other policies referenced herein, constitutes the agreement governing your use of the Software, except where additional product-specific terms apply.

32. ORDER OF PRECEDENCE

If there is a conflict between this EULA and product-specific terms, the product-specific terms will control only to the extent necessary to resolve the conflict.

Where applicable, mandatory platform terms and applicable law will also apply.
